This Terms of Service Agreement (the “Agreement”) outlines the terms and conditions governing the engagement between you (the “Client”) and Alterna Pty Ltd (ABN 18 670 614 258), doing business as “Alterna Sources,” for the provision of specified Services. This Agreement is legally binding, and by engaging Alterna Sources' Services, you agree to adhere to the terms herein. The "Effective Date" of this Agreement is the date when you submit your order for Services to Alterna Sources.

1. SERVICES

Alterna Sources will deliver the Services to the Client as detailed on the Alterna Sources website

2. ALTERNA SOURCES OBLIGATIONS2.1

Alterna Sources will provide Services to the Client in accordance with Alterna Sources' standard policies and procedures. Alterna Sources reserves the right to reject Clients at its sole discretion and will be responsible for all aspects of Service provision.

2.2

All Alterna Sources rules, policies, and operating procedures concerning privacy, pricing, customer service, and other Service aspects apply. Alterna Sources may modify these rules and policies at its sole discretion.

3. FEES AND PAYMENT3.1

All fees for Services are due and payable in full, in advance. A valid credit card for monthly payments shall remain securely on file for recurring charges.

3.2

Initial service charges are to be paid in advance. Subsequently, Alterna Sources will attempt to charge the Client's credit card monthly. Unpaid charges will result in service suspension until full payment is received, without proration of fees.

3.3

Alterna Sources does not issue refunds, except in the case of a material breach of this agreement by Alterna Sources.

3.4

Costs associated with payment collection, such as debt collection or legal costs, will be added to the invoice along with administration charges based on $180 + GST per hour.

4. WARRANTY DISCLAIMERS

Alterna Sources expressly disclaims all warranties related to this agreement, the Services, or any materials provided, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

5. INDEMNITY

The Client will indemnify and hold harmless Alterna Sources and its affiliates from any losses, costs, damages, liabilities, and expenses arising from any breach of the terms of this Agreement.

6. LIMITATION OF LIABILITY

Alterna Sources shall not be liable for any indirect, consequential, incidental, or special damages. In no event shall Alterna Sources' liability exceed the amount paid by the Client for the previous one (1) month of services.

7. PRIVACY POLICY

Both parties agree not to disclose confidential information concerning the other's business. Alterna Sources acknowledges its duty to treat confidential information supplied by the Client with complete confidence.

8. MISCELLANEOUS

This Agreement constitutes the entire understanding between the parties. Alterna Sources may amend this Agreement at its sole discretion, with notice provided via email. The Agreement is binding on successors and permitted assigns. Client may not assign this Agreement without Alterna Sources' written consent.
